Agreement
These terms apply when you use abacompute.com, including the calculator, the assessment form and the data intake.
The site is operated by ZStack Capital LLC ("Aba Compute," "we," "us"). By using it you agree to these terms and to our Privacy Policy. If you use the site for a company, you confirm you're allowed to act for that company and these terms bind it too. If you don't agree, please don't use the site.
The Disputes section requires individual arbitration of most disputes and waives class actions and jury trials. Please read it.
What the Site Is
Aba Compute helps companies license business records they choose to share, de-identified, to frontier AI labs and other buyers. The site explains how that works, estimates what a company's data could be worth and collects the details we need to assess it.
We can change, pause or remove any part of the site at any time.
Estimates Aren't Offers
The calculator gives a rough range based on headcount and company age. It isn't a quote, an offer or a promise of payment.
What a dataset actually earns depends on things the calculator can't see: what the records contain, how complete they are, whether you have the right to license them, how much de-identification they need and what buyers want at the time. A real figure only comes after we review your data, and it may be higher or lower than the estimate. Some companies won't qualify at all.
Market figures and examples on the site, including those in our thesis, are for context and may change.
Licensing Deals
Using the site, submitting an intake or talking with us doesn't create a licensing agreement or any obligation for either side to do a deal.
A deal only exists when both sides sign a written agreement. That agreement sets out which records are included, how they're de-identified, who may use them and for what, the price, and when buyers must delete them. If it conflicts with these terms, the signed agreement wins.
What You Send Us
When you fill in a form, complete an intake or email us, you confirm that:
- The information is accurate to the best of your knowledge. Estimates are fine where we ask for them.
- You're allowed to share it on behalf of your company.
- It doesn't include customer or employee records, passwords, API keys, payment card data, health information or anything subject to export controls. The site asks for counts and descriptions only.
You give us permission to use what you send to evaluate your company, prepare estimates and quotes, and contact you about them. We handle it as described in our Privacy Policy and don't share your company's details with a buyer without your approval.
If you send us feedback or ideas about the site or our service, we may use them without owing you anything.
Acceptable Use
Don't use the site to:
- Break the law or infringe anyone's rights.
- Submit information about a company you don't represent, or impersonate someone.
- Upload malware, probe for vulnerabilities, or interfere with the site's security or performance.
- Scrape, copy or resell the site's content, or access it with bots except standard search engine crawlers.
- Try to open intakes or accounts that aren't yours.
We can block access for anyone who breaks these rules.
Accounts and Intake Links
Each intake lives at a private link that works without a password. Anyone who has the link can view and change your answers, so keep it to yourself and the colleagues helping you. If you think someone else has it, tell us right away.
If we give you an account, keep your login secure. You're responsible for activity under it.
Our Content
The site's text, design, calculator, logos and code belong to Aba Compute or its licensors. You may read, share links to and quote the site with attribution. Anything beyond that needs our written permission.
Your company's information and records stay yours. Submitting them through the site gives us only the permission described in What you send us.
Third-Party Services
The site links to other websites and uses outside services, such as the chat widget, analytics and email delivery. We aren't responsible for third-party sites or services, and their own terms apply when you use them.
No Professional Advice
Nothing on the site is legal, tax, financial or privacy-compliance advice. Before licensing data, check your customer contracts, privacy notices and applicable law with your own advisers.
Disclaimer of Warranties
The site and everything on it are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We don't promise that the site will be accurate, uninterrupted, secure or error-free, or that any estimate will match what a buyer pays.
Limitation of Liability
To the fullest extent the law allows, Aba Compute and ZStack Capital LLC won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities, arising from your use of the site, even if we were told they were possible. Our total liability for any claim about the site is limited to one hundred US dollars (US$100).
Some places don't allow these limits, so they may not all apply to you. They don't limit liability that can't be limited by law. Liability under a signed licensing agreement is governed by that agreement.
Indemnity
If someone brings a claim against us because you broke these terms, submitted information you weren't allowed to share, or misused the site, you'll cover our reasonable costs of dealing with it, including legal fees.
Disputes
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
If you have a dispute with us, email [email protected] first. Most problems get solved that way. If we can't resolve it within 60 days, either side may start binding arbitration with JAMS under its Streamlined or Expedited rules, held in San Francisco, California, or by video if both sides agree. A court with jurisdiction may enter judgment on the award.
You and Aba Compute each agree to bring claims only individually, not as a plaintiff or class member in any class, collective or representative action, and each waives the right to a jury trial.
Either side may still go to small claims court for an eligible claim, or ask a court for an injunction to protect intellectual property or confidential information. If arbitration can't be enforced for a dispute, it goes to the state or federal courts in San Francisco, California. Any claim about the site must be brought within one year of when it arose.
General
- Changes. We may update these terms and will change the date at the top when we do. Using the site after an update means you accept it.
- Entire agreement. These terms and the Privacy Policy are the whole agreement about your use of the site. A signed licensing agreement covers anything within its scope.
- Severability. If a court finds part of these terms unenforceable, the rest stays in effect.
- No waiver. If we don't enforce a term right away, we can still enforce it later.
- Assignment. You can't transfer these terms without our consent. We may transfer them as part of a merger, acquisition or sale of assets.
- Export. You may not use the site from, or on behalf of anyone in, a country or list subject to US sanctions.
